Terms of Service
The terms governing your use of ProveAPro — the vetted directory of home-services tradespeople in Halifax Regional Municipality.

1. Agreement to these terms
These Terms of Service ("Terms") form a legally binding agreement between you and ProveAPro ("ProveAPro," "we," "us," or "our"), governing your access to and use of the ProveAPro website, mobile interfaces, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction to use the Services.
2. About ProveAPro
ProveAPro is an online directory connecting homeowners in Halifax Regional Municipality (Halifax, Dartmouth, Bedford, and Sackville) with vetted home-services tradespeople. Our role is to maintain the directory, vet tradespeople before listing, and provide the platform on which homeowners and tradespeople connect.
ProveAPro is not a party to any agreement, contract, or transaction between a homeowner and a tradesperson. We do not provide home-services work ourselves, do not employ tradespeople, and do not guarantee the quality, timing, safety, or outcome of any work performed.
3. Account types
The Services support three account types:
Homeowners — individuals seeking home-services tradespeople. Use of the directory by homeowners is free.
Tradespeople — individuals or businesses offering home-services. Tradespeople pay a subscription fee to be listed after a free trial period and must complete a vetting process before their profile becomes publicly visible.
Administrators — ProveAPro staff who manage the platform, vet tradespeople, moderate content, and provide support.
4. Account registration and security
When you register for an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your information
- Keep your password and account credentials confidential
- Notify us immediately of any unauthorised access to your account
- Take responsibility for all activity under your account
You may not impersonate another person, create accounts using false information, or maintain more than one personal account without our written permission.
5. Tradesperson vetting and listing
5.1 The vetting process
Tradespeople who apply to be listed agree to undergo a vetting process. By submitting an application, the applicant consents to ProveAPro:
- Verifying the applicant's identity using government-issued photo identification
- Confirming business registration with the Nova Scotia Registry of Joint Stock Companies or equivalent
- Reviewing proof of liability insurance and noting the expiry date
- Verifying any required trade licensing, where applicable
- Contacting at least two customer references provided by the applicant
- Checking publicly available sources for active complaints, including the Better Business Bureau and small claims records
5.2 What approval means
Approval as a vetted tradesperson on ProveAPro confirms that the applicant has, at the time of approval, satisfied our vetting checks. Approval does not constitute a guarantee, warranty, or endorsement of:
- The quality, safety, or timeliness of any work performed
- The outcome of any specific job
- The continuing accuracy of vetting information after approval
ProveAPro re-verifies insurance status annually but does not perform continuous monitoring of all vetting items.
5.3 Ongoing tradesperson obligations
Listed tradespeople agree to:
- Maintain valid liability insurance throughout their listing
- Maintain valid trade licensing where required by law
- Notify ProveAPro promptly of any material changes to their licensing, insurance, or business registration
- Honour their commitments to customers
- Not engage in fraudulent, misleading, or unsafe practices
- Comply with all applicable laws and regulations in performing their work
- Allow ProveAPro to investigate complaints
5.4 Removal from the directory
ProveAPro may remove a tradesperson from the directory at any time, with or without notice, including for:
- Repeated negative reviews or unresolved complaints
- Loss of valid insurance, licensing, or business registration
- Misrepresentation during the vetting process or thereafter
- Failure to pay subscription fees
- Breach of these Terms
- Any conduct that, in our reasonable judgment, undermines the integrity of the platform
Removal does not entitle a tradesperson to a refund of any fees paid.
6. Subscriptions and payments
6.1 Free trial
New tradespeople receive a free trial period of 60 days from the date of approval. During the trial, the tradesperson's profile is publicly visible at no cost.
6.2 Paid subscriptions
After the free trial, continued listing requires a paid subscription. Subscription pricing, plan details, and renewal terms are presented during the application and trial process and may be updated from time to time with notice.
Subscriptions are offered on a monthly or annual basis at the tradesperson's selection. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.
6.3 Payment processing
Payments are processed by Stripe, a third-party payment processor. ProveAPro does not store credit card or bank account information directly. By providing payment information, you authorise us, through Stripe, to charge the applicable subscription fees.
Accepted payment methods include Visa, Mastercard, American Express, Discover, Apple Pay, and Google Pay. All amounts are billed in Canadian dollars (CAD) unless stated otherwise.
6.4 Cancellation
Tradespeople may cancel their subscription at any time by logging into their account dashboard and following the cancellation process. Cancellation takes effect at the end of the current billing period. The tradesperson's profile remains visible until the end of that period and is then hidden from the public directory.
We do not provide refunds for partial billing periods, except where required by law.
6.5 Price changes
We may change subscription pricing from time to time. Price changes will be notified to active subscribers at least 30 days before they take effect. Continued use of the Services after a price change constitutes acceptance of the new price.
6.6 Failed payments
If a payment fails, we may suspend the tradesperson's listing until payment is resolved. Repeated failed payments may result in account termination.
7. Reviews and ratings
7.1 Submitting reviews
Homeowners may submit reviews of tradespeople they have personally engaged through the platform. Reviews must:
- Be based on the homeowner's genuine, personal experience
- Be truthful and not misleading
- Not contain defamatory, threatening, harassing, or unlawful content
- Not contain personal information about third parties without consent
- Comply with applicable laws
7.2 Verification
ProveAPro may verify reviews using contact details provided by the reviewer, including by SMS or email. Reviews that cannot be verified, or that we determine in our reasonable judgment are fraudulent, paid for, or written by parties with a conflict of interest, will not be published or will be removed.
7.3 Moderation
ProveAPro reserves the right to:
- Edit reviews for length, clarity, or to remove personal information
- Reject or remove reviews that breach these Terms
- Investigate reviews flagged by tradespeople or other users
- Remove reviews from a tradesperson's profile when the tradesperson is removed from the platform
We are not responsible for the content of reviews submitted by users. Reviews reflect the opinions of the reviewer and not the opinions of ProveAPro.
7.4 Tradesperson responses
Listed tradespeople are not currently able to respond to reviews directly through the platform. We may introduce response functionality in the future.
7.5 Prohibited review conduct
You must not:
- Submit reviews about a tradesperson you have not personally hired
- Solicit, pay for, or incentivise reviews
- Impersonate another homeowner
- Submit reviews on behalf of competitors with the intent to harm
- Coordinate with others to manipulate ratings
8. Acceptable use
You agree not to, and not to permit any third party to:
- Use the Services to advertise services that have not been vetted and approved by ProveAPro
- Sell, transfer, sublicense, or otherwise commercialise your account or profile
- Submit false or misleading information during the vetting process or in any review
- Impersonate another tradesperson, business, or homeowner
- Bypass the platform to circumvent subscription fees or vetting requirements
- Post fraudulent reviews or solicit fake reviews
- Use the Services to harass, threaten, or discriminate against any user
- Operate as a tradesperson without valid liability insurance, licensing, or business registration as represented during vetting
- Use automated tools, scripts, or bots to scrape, copy, or harvest data from the platform
- Attempt to gain unauthorised access to other users' accounts or platform systems
- Interfere with or disrupt the Services or servers
- Reverse engineer, decompile, or attempt to derive the source code of the Services
- Use the Services for any unlawful purpose or in violation of any applicable law
We may investigate suspected violations and take appropriate action, including suspending or terminating accounts and reporting to law enforcement where warranted.
9. User content
9.1 Definition
"User Content" means any content you submit to the Services, including profile information, business descriptions, photographs, gallery images, reviews, ratings, and communications with other users.
9.2 Your responsibilities
You represent and warrant that:
- You own or have the necessary rights to the User Content you submit
- Your User Content does not infringe any third party's intellectual property, privacy, or other rights
- Your User Content is accurate, lawful, and not misleading
- Your photographs depict your own work, properties for which you have permission to share images, or stock imagery you are licensed to use
9.3 Licence to ProveAPro
By submitting User Content, you grant ProveAPro a non-exclusive, worldwide, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display the User Content in connection with operating, promoting, and improving the Services.
This licence continues for as long as your User Content remains on the platform and for a reasonable period thereafter for backup and archival purposes.
9.4 Removal
You may remove your own User Content at any time by editing your profile or contacting us. ProveAPro may also remove User Content that violates these Terms or applicable law.
10. Intellectual property
10.1 ProveAPro's rights
The Services, including the website design, logos, brand elements, software, text, and other content created by ProveAPro, are owned by ProveAPro and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use ProveAPro's intellectual property except as expressly permitted.
10.2 Trademarks
"ProveAPro" and the ProveAPro logo are trademarks of ProveAPro. You may not use these marks without our prior written permission.
10.3 Copyright complaints
If you believe content on the Services infringes your copyright, please contact us at hello@proveapro.com with:
- A description of the copyrighted work you claim has been infringed
- The location on the Services where the allegedly infringing content appears
- Your contact information
- A statement that you have a good-faith belief that the use is not authorised
- A statement that the information in your notice is accurate
- Your physical or electronic signature
We will investigate and take appropriate action, including removing infringing content and terminating repeat infringers' accounts.
11. Third-party links and services
The Services may contain links to third-party websites, apps, or services. ProveAPro does not control these and is not responsible for their content, privacy practices, or terms. Your use of third-party services is at your own risk and subject to their terms.
Payment processing is provided by Stripe and is subject to Stripe's terms and privacy policy. SMS verification is provided by Twilio and is subject to Twilio's terms and privacy policy.
12. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, PROVEAPRO DOES NOT WARRANT THAT:
- The Services will be uninterrupted, error-free, or secure
- Defects will be corrected
- The Services or servers are free of viruses or harmful components
- Any tradesperson listed will perform satisfactory work
- Any review reflects the experience of every customer
- Any vetting check is comprehensive or guarantees future performance
VETTING IS A POINT-IN-TIME REVIEW BASED ON INFORMATION PROVIDED BY THE APPLICANT AND PUBLICLY AVAILABLE SOURCES. PROVEAPRO IS NOT RESPONSIBLE FOR THE WORK, CONDUCT, OR OUTCOMES OF ANY TRADESPERSON LISTED ON THE PLATFORM.
HOMEOWNERS ARE RESPONSIBLE FOR THEIR OWN DUE DILIGENCE BEFORE ENGAGING ANY TRADESPERSON, INCLUDING REQUESTING WRITTEN QUOTES, CONFIRMING SCOPE OF WORK, REVIEWING TERMS OF ENGAGEMENT, AND ENSURING ADEQUATE INSURANCE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVEAPRO AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR USE OF OR INABILITY TO USE THE SERVICES
- ANY WORK PERFORMED OR NOT PERFORMED BY A TRADESPERSON LISTED ON THE PLATFORM
- ANY CONDUCT OR CONTENT OF ANY USER
- ANY DISPUTE BETWEEN HOMEOWNERS AND TRADESPEOPLE
- ANY UNAUTHORISED ACCESS TO OR USE OF YOUR ACCOUNT
PROVEAPRO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PROVEAPRO IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
THESE LIMITATIONS APPLY EVEN IF PROVEAPRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify, defend, and hold harmless ProveAPro, its directors, officers, employees, agents, and affiliates from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Services
- Your User Content
- Your breach of these Terms
- Your violation of any applicable law or third-party rights
- Any work you perform as a tradesperson or any service you receive as a homeowner from another user
15. Dispute resolution
15.1 Informal negotiation
Before pursuing formal proceedings, you agree to attempt in good faith to resolve any dispute with ProveAPro by contacting us at hello@proveapro.com. We will attempt to resolve the matter through informal negotiation. If the dispute is not resolved within 30 days, either party may proceed to formal proceedings.
15.2 Arbitration
If informal negotiation does not resolve the dispute, the dispute shall be finally resolved by binding arbitration administered in Halifax, Nova Scotia, by a single arbitrator. The arbitration shall be conducted in English, in accordance with the rules of the ADR Institute of Canada. The arbitrator's decision shall be final and binding.
15.3 Exceptions to arbitration
Notwithstanding the foregoing, either party may bring a claim in small claims court or seek injunctive relief in a court of competent jurisdiction for matters related to intellectual property infringement or unauthorised use of the Services.
15.4 Class action waiver
You agree to resolve disputes with ProveAPro on an individual basis and waive any right to participate in class actions or representative proceedings, to the maximum extent permitted by law.
16. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Subject to Section 15, the courts of Nova Scotia have exclusive jurisdiction over any dispute arising from these Terms.
17. Termination
17.1 By you
You may terminate your account at any time by contacting us or following the cancellation process in your account dashboard.
17.2 By us
We may suspend or terminate your account at any time, with or without notice, if:
- You breach these Terms
- We are required to do so by law or government order
- Your conduct creates risk or legal exposure for ProveAPro or other users
- We discontinue the Services
17.3 Effect of termination
Upon termination:
- Your right to access the Services ends immediately
- Your profile (if you are a tradesperson) is removed from the public directory
- These Terms continue to apply to past use of the Services
- Provisions that by their nature should survive (including disclaimers, limitations of liability, indemnification, dispute resolution, and governing law) will survive
We may retain your information after termination as described in our Privacy Policy and as required by law.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to active users by email or by posting a notice on the Services. The "Last updated" date at the top of these Terms reflects the most recent revision.
Your continued use of the Services after a change takes effect constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Services and may terminate your account.
19. Miscellaneous
19.1 Entire agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and ProveAPro regarding the Services and supersede any prior agreements.
19.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
19.3 No waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
19.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. ProveAPro may assign these Terms without restriction, including to a successor in connection with a merger, acquisition, or sale of assets.
19.5 Force majeure
ProveAPro is not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, labour disputes, or failures of internet or telecommunications infrastructure.
19.6 Notices
Notices to ProveAPro should be sent to hello@proveapro.com. Notices to you may be sent by email to the address associated with your account or posted on the Services.
19.7 Language
These Terms are in English. Any translation provided is for convenience only. In the event of any inconsistency, the English version prevails.
